HoneybeeBase™ Terms of Service

Welcome and thank you for using HoneybeeBase™ (“Service”). By using the Service, you agree to these Terms of Service (“Terms”). HoneybeeBase™, LLC (“Company,” “we,” “our,” or “us”) reserves the right to update or change these Terms at any time by posting the revised version. Continued use of the Service constitutes acceptance of the updated Terms.

If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, and all references to “you” or “your” include that organization.

Your account, subscription, and roles (Account Owner, Account User) function as described in our documentation. You are responsible for maintaining accurate contact information and ensuring that only authorized users access the Service.

You must maintain the confidentiality of your password and account. You are responsible for all activities under your account. Notify support immediately if you suspect unauthorized access.

The Service is provided “as is” and “as available.” You agree not to misuse or interfere with its normal operation. HoneybeeBase makes no warranties regarding uninterrupted service or fitness for a particular purpose. You are solely responsible for accuracy of data and compliance with applicable employment laws, including overtime calculations.

API access is subject to these Terms. Abuse or excessive requests may result in suspension. We disclaim all liability arising from third-party API use.

Subscriptions require advance payment after the 28-day free trial. Fees are non-refundable except where required by law or as expressly stated herein. Refund requests must be submitted within 30 days of purchase. Annual plans may receive a prorated refund for unused months. All prices exclude applicable taxes, which you are responsible for.

Subscriptions renew automatically each billing cycle unless canceled. You may cancel renewal anytime before the next billing date.

Cancellation stops future renewals; access continues through the paid term. After 30 days post-termination, all Content and backups are permanently deleted. We may suspend or terminate accounts for any violation or misuse. We reserve the right to refuse service at any time.

We may change fees effective at the next billing cycle, providing reasonable prior notice. We may discontinue any feature or the entire Service at any time without liability beyond prepaid amounts.

You are responsible for any applicable taxes other than our income taxes. If legally required, we may collect and remit such taxes on your behalf.

By registering, you consent to receive communications from us via email, SMS, or phone, including operational updates, account notices, and promotional messages. You may opt out of promotional communications at any time.

You may not post unlawful, harmful, or abusive content or engage in disruptive behavior. Excessive usage that impairs system performance may result in temporary suspension. We reserve the right to remove or disable content that violates law or these Terms.

Your information is handled per our Privacy Policy. You authorize us to process and store data as described therein. Processing may occur over unencrypted networks. We may disclose information where legally required.

The Service may only be used within the United States and in compliance with all applicable laws. You are solely responsible for ensuring legality of use in your jurisdiction. Hacking, scraping, or reselling without consent is prohibited.

HoneybeeBase™ retains all rights, title, and interest in the Service and associated intellectual property. Use does not convey ownership. You may not copy, modify, or reuse any portion of the code, design, or trademarks without written consent.

You retain ownership of content you upload. We may remove content that violates law or third-party rights. Report alleged infringement to support@honeybeebase.com.

The Service is provided “as is.” To the fullest extent permitted by law, HoneybeeBase™ and its affiliates will not be liable for indirect, incidental, consequential, or punitive damages. Our total liability shall not exceed the greater of $1,000 or the amount you paid in the 12 months preceding the claim. You agree to indemnify and hold harmless HoneybeeBase™, its affiliates, and employees from claims arising from your use or violation of these Terms.

A. Informal Resolution. Most concerns can be resolved by contacting support@honeybeebase.com. Before initiating arbitration, you agree to attempt to resolve the dispute informally for at least 30 days.

B. Binding Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules (or Consumer Rules if applicable). The arbitration will take place in Stark County, Ohio, in English, before a single arbitrator.

C. Class Action & Jury Trial Waiver. All disputes must be brought solely in an individual capacity, not as a class, consolidated, or representative action. You and HoneybeeBase™ waive the right to a jury trial.

D. Small Claims Exception. Either party may bring qualifying claims (≤$5,000) in small claims court in Stark County, Ohio, instead of arbitration.

E. 30-Day Opt-Out. You may opt out of this arbitration agreement by emailing support@honeybeebase.com within 30 days of first accepting these Terms, stating “Opt Out of Arbitration” and including your account email. Opting out will not affect other provisions of these Terms.

F. Costs & Enforcement. Each party bears its own costs unless the arbitrator rules otherwise under applicable law. Judgment may be entered on the award in any court of competent jurisdiction.

These Terms are governed by the laws of the State of Ohio, without regard to conflicts of law. The Federal Arbitration Act governs interpretation and enforcement of the arbitration provisions.

These Terms constitute the entire agreement between you and HoneybeeBase™, LLC regarding the Service and supersede prior agreements or understandings.

Failure to enforce any term is not a waiver of future enforcement. If any term is unenforceable, remaining terms stay in effect. You may not assign these Terms; we may assign them to affiliates or successors without notice.
